These Terms of Service and Terms of Sale (“Terms”) constitute a legally binding agreement between you and DLLabs Inc., doing business as Dream Life Labs (“Dream Life Labs,” “DLL,” “we,” “us,” or “our”).
These Terms govern your access to and use of dllabsinc.com, your customer account, and your purchase, receipt, possession, storage, handling, testing, transfer, and disposal of products obtained from Dream Life Labs.
Please read these Terms carefully. By accessing the website, creating an account, confirming researcher eligibility, submitting an order, purchasing a product, or otherwise using our services, you acknowledge that you have read, understood, and agreed to these Terms, our Privacy Policy, Refund and Replacement Policy, and Research Use Only Disclaimer.
Do not access the website, create an account, or purchase products if you do not agree to these Terms.
1. Research Use Only
All compounds, chemical reference materials, laboratory supplies, bundles, and related products offered by Dream Life Labs are sold exclusively for lawful in vitro laboratory research conducted by qualified researchers and properly equipped laboratories.
Products sold by Dream Life Labs are not intended for:
- human use;
- veterinary use;
- ingestion;
- injection;
- inhalation;
- topical application to humans or animals;
- implantation;
- administration to any human or animal;
- personal experimentation;
- compounding;
- pharmacy use;
- clinical use;
- diagnostic use;
- food or beverage use;
- cosmetic use;
- household use;
- treatment, prevention, mitigation, diagnosis, or cure of any disease or condition;
- bodybuilding;
- weight management;
- wellness;
- anti-aging;
- reproductive purposes;
- athletic or performance-enhancement purposes.
Products sold by Dream Life Labs are not drugs, dietary supplements, foods, beverages, cosmetics, consumer products, medical treatments, pharmaceutical preparations, or approved medical devices.
Products have not been evaluated or approved by the United States Food and Drug Administration for safety, effectiveness, diagnosis, treatment, prevention, mitigation, or administration to humans or animals.
A product’s name, chemical identity, concentration, format, appearance, packaging, placement within a website category, discussion in scientific literature, or prior investigation by third parties does not change its intended use as a laboratory research material.
2. Buyer Eligibility
To create a purchasing account, access purchasing features, or place an order, you must:
- Be at least 21 years old.
- Be legally capable of entering into a binding agreement.
- Be a qualified researcher, laboratory professional, or authorized representative of a legitimate research organization.
- Possess sufficient education, training, experience, facilities, equipment, and authority to receive and handle the products safely.
- Purchase products solely for lawful in vitro laboratory research.
- Be legally permitted to purchase, receive, possess, import, store, handle, test, transfer, and dispose of the products in your jurisdiction.
- Provide complete, accurate, truthful, and current information.
- Successfully complete any identity, age, organization, researcher, payment, fraud, sanctions, export-control, or compliance review requested by Dream Life Labs.
Dream Life Labs may request documentation supporting your identity, age, organization, authority, research qualifications, facilities, intended research category, payment method, or legal ability to purchase.
Checking an eligibility box, creating an account, completing checkout, or passing an automated website gate does not guarantee that an order will be accepted.
We may deny access, reject an order, request additional documentation, or permanently restrict an account at our discretion when necessary to address legal, safety, fraud, compliance, or misuse concerns.
3. Buyer Representations and Warranties
Each time you access purchasing features, create an account, or submit an order, you represent and warrant that:
- all information supplied to Dream Life Labs is true, complete, current, and accurate;
- you are at least 21 years old;
- you are purchasing solely for lawful in vitro laboratory research;
- you are not purchasing for personal, household, medical, cosmetic, recreational, athletic, veterinary, wellness, therapeutic, or human-consumption purposes;
- no product will be administered or made available for administration to any human or animal;
- you will not use any product as a drug, active pharmaceutical ingredient, compounded preparation, supplement, cosmetic, food ingredient, beverage ingredient, personal-care product, or medical treatment;
- you will not provide or publish dosing, administration, reconstitution, treatment, compounding, or clinical instructions involving a product;
- you will not mislabel, adulterate, dilute, counterfeit, modify, or misrepresent a product;
- you will not remove, alter, conceal, or obscure Research Use Only warnings, lot numbers, batch numbers, safety information, or identifying labels;
- you will not sell, transfer, distribute, or make products available to consumers or unqualified persons;
- you will not import, export, transfer, possess, handle, or use products in violation of applicable law;
- you will maintain appropriate facilities, procedures, controls, records, training, protective equipment, and security measures;
- you will comply with all applicable federal, state, local, and international laws and institutional requirements;
- you will independently determine whether each product is suitable for your intended lawful research;
- you will obtain all permits, approvals, licenses, authorizations, and institutional permissions required for your activities.
Dream Life Labs relies materially on these representations when determining whether to provide access, accept an order, or continue a customer relationship.
4. Prohibited Conduct
You may not:
- purchase, possess, prepare, promote, transfer, or use products for human or animal administration;
- provide false age, identity, researcher, organization, payment, shipping, or intended-use information;
- impersonate another person or organization;
- use another person’s account, identity, payment method, address, or credentials without authorization;
- create multiple accounts to evade restrictions, quantity limits, compliance reviews, account suspensions, or order cancellations;
- resell products through consumer marketplaces, social-media platforms, private groups, gyms, clinics, pharmacies, salons, wellness businesses, medical offices, or similar channels;
- advertise products using human dosing, treatment, transformation, weight-loss, bodybuilding, anti-aging, cosmetic, reproductive, wellness, medical, or performance claims;
- create capsules, tablets, injectables, creams, sprays, foods, beverages, cosmetics, compounded preparations, consumer-ready products, or medical products from materials purchased from Dream Life Labs;
- provide products to another person for personal experimentation;
- facilitate, encourage, assist, or conceal misuse of a product;
- use website content, product images, Certificates of Analysis, labels, or branding to promote human or veterinary use;
- represent that Dream Life Labs has approved, endorsed, recommended, or authorized human or animal use;
- engage in fraud, identity theft, payment fraud, money laundering, sanctions evasion, chargeback abuse, or other unlawful activity;
- scrape, crawl, copy, reverse engineer, attack, overload, disrupt, or circumvent the website or its security systems;
- upload malware, malicious code, automated scripts, or harmful content;
- attempt unauthorized access to accounts, databases, systems, servers, or networks;
- interfere with another person’s use of the website;
- infringe intellectual-property, privacy, publicity, contractual, or other legal rights;
- impersonate Dream Life Labs or falsely claim an affiliation, partnership, sponsorship, or endorsement.
Dream Life Labs may reject orders, suspend accounts, cancel transactions, preserve records, block access, and report suspected unlawful or dangerous activity when appropriate.
5. No Medical, Clinical, Veterinary, or Professional Advice
Nothing on the website or in any product listing, product description, research-library entry, Certificate of Analysis, label, packaging, email, text, chat, customer-support response, advertisement, social-media post, photograph, video, review, or other communication constitutes:
- medical advice;
- veterinary advice;
- diagnosis;
- treatment advice;
- prescribing information;
- dosing instructions;
- administration instructions;
- reconstitution instructions for human or animal use;
- compounding instructions;
- clinical guidance;
- a recommendation for human or animal use;
- a representation of clinical safety, effectiveness, or suitability.
Dream Life Labs personnel are not authorized to advise customers regarding human or animal use.
A failure to respond to, refuse, correct, or challenge an unsolicited statement made by a customer does not constitute approval, authorization, recommendation, or acceptance of any prohibited use.
Questions regarding personal health, treatment, diagnosis, or medical decisions must be directed to an appropriately licensed healthcare professional. Dream Life Labs products must not be used to address those questions.
6. Customer Accounts
You may be required to create an account to purchase products or access certain website features.
You agree to:
- provide accurate and complete account information;
- promptly update information that changes;
- maintain the confidentiality of your password and login credentials;
- restrict access to your account and devices;
- use a secure password;
- notify Dream Life Labs promptly if you suspect unauthorized access or account misuse;
- accept responsibility for activity performed through your account, except where prohibited by law.
You may not transfer, sell, share, rent, or assign your account.
Dream Life Labs may suspend, limit, deactivate, or terminate an account when we reasonably believe that:
- information is false or misleading;
- the account has been compromised;
- fraud or payment abuse may have occurred;
- products may be used for prohibited purposes;
- the customer presents a safety, legal, sanctions, export-control, compliance, or reputational risk;
- these Terms or another Dream Life Labs policy has been violated.
You may not create a replacement account to evade a suspension, restriction, termination, cancellation, or compliance review.
7. Product Information and Availability
Dream Life Labs attempts to provide accurate product names, quantities, concentrations, specifications, photographs, batch information, testing information, availability, and prices.
However:
- website content may contain typographical, technical, photographic, pricing, inventory, description, or formatting errors;
- product packaging, labeling, appearance, specifications, concentration, supplier, and presentation may change;
- product photographs are illustrative and may not depict the exact batch, packaging, size, shade, or appearance received;
- availability is not guaranteed;
- stock levels may change before an order is processed;
- product placement within a website category does not authorize a particular method of use;
- scientific descriptions are provided solely for general laboratory-reference purposes;
- scientific or technical information may not be complete or appropriate for every research application.
Dream Life Labs may correct errors, revise content, update specifications, limit purchase quantities, discontinue products, change packaging, substitute equivalent packaging, or cancel affected orders.
8. Certificates of Analysis and Product Testing
Where available, a Certificate of Analysis may provide testing information associated with a particular batch, lot, or submitted sample.
Unless expressly stated in writing:
- a Certificate of Analysis does not establish that a product is safe or effective for human or animal use;
- analytical testing does not establish sterility, clinical safety, therapeutic suitability, pharmacological suitability, diagnostic suitability, or regulatory approval;
- test results may be affected by sampling methods, analytical uncertainty, degradation, transportation, storage, laboratory methods, environmental conditions, and other limitations;
- a result for one batch does not automatically apply to another batch;
- a test result does not eliminate the purchaser’s responsibility to conduct independent testing appropriate to the purchaser’s research.
Purchasers remain responsible for independently evaluating:
- identity;
- purity;
- concentration;
- suitability;
- stability;
- contamination risk;
- storage requirements;
- handling requirements;
- research compatibility.
Any purity percentage displayed on the website should be interpreted in connection with the applicable batch, test method, laboratory result, testing date, and Certificate of Analysis.
A general purity statement is not a promise that every product or every batch will have an identical result.
9. Orders and Order Acceptance
Submitting an order constitutes an offer to purchase. It does not constitute acceptance by Dream Life Labs.
Dream Life Labs may accept, reject, limit, place on hold, investigate, or cancel an order for reasons including:
- eligibility concerns;
- suspected prohibited use;
- suspected human or veterinary use;
- suspected resale or redistribution;
- false or incomplete information;
- payment failure;
- pricing errors;
- inventory errors;
- stock shortages;
- fraud risk;
- sanctions concerns;
- export-control restrictions;
- shipping restrictions;
- legal restrictions;
- excessive order quantities;
- product-safety concerns;
- previous violations, disputes, chargebacks, or account restrictions.
An automated order confirmation only confirms that the order request was received. It does not mean the order has been accepted.
An order is accepted when Dream Life Labs issues a shipping confirmation or otherwise expressly confirms acceptance.
Dream Life Labs may request additional information or documentation before accepting an order. Failure to respond may result in cancellation.
10. Pricing, Taxes, Discounts, and Promotions
Unless otherwise stated, prices are displayed in United States dollars.
Prices, product availability, shipping charges, discount amounts, free-shipping thresholds, and promotions may change at any time before an order is accepted.
You are responsible for applicable:
- sales taxes;
- use taxes;
- duties;
- customs charges;
- brokerage fees;
- permit fees;
- regulatory charges;
- governmental charges.
Promotions and discount codes:
- have no cash value;
- may not be redeemed for cash;
- may not be transferred unless expressly permitted;
- may not be combined unless stated;
- may be limited by customer, account, product, order, location, or date;
- may be modified, suspended, or terminated where permitted by law;
- may be cancelled when obtained through fraud, duplication, automation, technical error, account manipulation, or abuse.
In the event of an obvious pricing or discount error, Dream Life Labs may cancel the affected order and refund the amount paid.
11. Payment
Available payment methods are those displayed during checkout and may include bank wire, cryptocurrency, card payment, electronic payment, or other approved methods.
Payment must be authorized, received, and cleared before an order is processed or shipped.
You represent and warrant that:
- you are authorized to use the selected payment method;
- all payment information is accurate;
- funds are derived from lawful sources;
- the transaction does not violate sanctions, anti-money-laundering, fraud, banking, financial, or other applicable laws;
- you will not initiate an improper or fraudulent chargeback.
Dream Life Labs may use third-party payment providers, financial institutions, fraud-screening services, cryptocurrency providers, or other service providers to process and review payments.
Cryptocurrency Payments
Cryptocurrency transactions may be irreversible and may be affected by:
- network delays;
- network congestion;
- transaction fees;
- wallet fees;
- exchange-rate changes;
- market volatility;
- incompatible networks;
- incorrect destination addresses;
- unsupported assets.
You are responsible for:
- sending the correct cryptocurrency;
- using the correct blockchain network;
- sending the exact required amount;
- paying applicable network and wallet fees;
- confirming the destination wallet address;
- complying with tax and financial obligations.
Dream Life Labs is not responsible for cryptocurrency sent:
- to an incorrect address;
- on an unsupported network;
- in the wrong currency;
- through an incompatible protocol;
- in an incorrect amount.
Any authorized cryptocurrency refund will be handled under the Refund and Replacement Policy.
Unless prohibited by law, a cryptocurrency refund may be calculated using the United States dollar value actually credited to the applicable order at the time payment was confirmed, rather than the cryptocurrency’s later market value.
12. Fraud, Sanctions, Export Controls, and Compliance Review
Dream Life Labs may review accounts, transactions, communications, addresses, payment methods, and orders for:
- fraud;
- prohibited use;
- sanctions compliance;
- export-control compliance;
- money laundering;
- identity theft;
- account abuse;
- payment abuse;
- unlawful resale;
- unlawful distribution;
- safety risks.
We may delay processing or fulfillment while conducting a reasonable review.
We may request:
- government-issued identification;
- age verification;
- organization information;
- laboratory information;
- proof of address;
- proof of payment authorization;
- intended-use information;
- supporting compliance documentation.
Dream Life Labs may cancel an order or restrict an account if requested information is not provided or cannot be verified.
We may preserve and disclose relevant records to financial institutions, payment providers, carriers, insurers, attorneys, regulators, or law-enforcement authorities where permitted or required by law.
13. Shipping
Shipping dates and delivery estimates are estimates only and are not guarantees.
Orders may require processing after:
- payment clears;
- compliance review is completed;
- inventory is confirmed;
- address information is verified.
You are responsible for providing a complete, accurate, lawful, and deliverable shipping address.
Dream Life Labs is not responsible for delay, loss, return, refusal, additional expense, or delivery failure caused by:
- incorrect addresses;
- incomplete addresses;
- carrier restrictions;
- inaccessible delivery locations;
- refusal of delivery;
- failure to retrieve a package;
- recipient unavailability;
- weather;
- natural disasters;
- labor disruptions;
- customs delays;
- governmental action;
- transportation disruptions;
- events outside our reasonable control.
Dream Life Labs may require:
- adult signature;
- direct signature;
- identity confirmation;
- business delivery;
- laboratory delivery;
- additional verification;
- other reasonable delivery safeguards.
We may refuse to ship to:
- freight forwarders;
- reshipping services;
- virtual addresses;
- post-office boxes;
- prohibited jurisdictions;
- high-risk destinations;
- addresses associated with suspected fraud, resale, diversion, or prohibited use.
14. International Orders
A product’s availability on the website does not mean that the product may lawfully be purchased, imported, received, possessed, transferred, or used in every country or jurisdiction.
International purchasers are solely responsible for:
- determining local legality;
- obtaining required permits;
- obtaining required licenses;
- obtaining customs approval;
- complying with import restrictions;
- paying duties, taxes, and brokerage fees;
- determining regulatory classification;
- arranging lawful receipt;
- ensuring lawful possession and research use.
Dream Life Labs may refuse to ship to any international destination.
Unless required by law or expressly agreed in writing, Dream Life Labs is not responsible for products that are:
- delayed by customs;
- seized;
- rejected;
- destroyed;
- returned;
- held by authorities;
- assessed additional charges.
Dream Life Labs will not intentionally misdeclare a product’s identity, description, quantity, classification, or value.
15. Title and Risk of Loss
To the maximum extent permitted by applicable law, title and risk of loss transfer to the purchaser when the shipment is delivered to the carrier.
This provision does not eliminate rights that cannot lawfully be waived and does not prevent Dream Life Labs from approving an eligible claim under the Refund and Replacement Policy.
16. Inspection Upon Delivery
You must inspect the shipment promptly after delivery.
Claims involving:
- visible shipping damage;
- missing items;
- incorrect items;
- broken containers;
- compromised packaging;
- suspected temperature or cold-chain failure;
must be submitted within 48 hours after the carrier records delivery.
A claim should include:
- the order number;
- a description of the issue;
- photographs of the outer packaging;
- photographs of the shipping label;
- photographs of the internal packaging;
- photographs of the affected product;
- the lot or batch number, where visible.
You must preserve the affected products and all packaging until the claim is resolved.
Failure to preserve packaging, product, labels, or photographic evidence may prevent Dream Life Labs from verifying the claim or completing a carrier or insurance investigation.
17. Cancellations, Returns, Refunds, and Replacements
The Dream Life Labs Refund and Replacement Policy is incorporated into these Terms.
Before Shipment
An order may be eligible for cancellation before it enters fulfillment or before a shipping label is created.
A cancellation request is not effective until Dream Life Labs confirms the cancellation.
After Shipment
Because products sold by Dream Life Labs are specialized research materials involving chain-of-custody, contamination, storage, temperature, and product-integrity concerns, products generally cannot be returned to inventory after shipment.
All properly fulfilled and delivered sales are final except where:
- an item is materially damaged in transit;
- Dream Life Labs shipped the wrong item;
- an item is missing;
- a verified temperature or cold-chain failure occurred;
- another remedy is required by applicable law.
Products are not eligible for return or refund when they have been:
- opened;
- punctured;
- reconstituted;
- altered;
- diluted;
- relabeled;
- improperly stored;
- exposed to inappropriate temperatures;
- contaminated;
- partially used;
- handled in a manner that prevents verification of product integrity.
For a valid claim, Dream Life Labs may provide, at its discretion and where permitted by law:
- a replacement;
- a refund for the affected item;
- another reasonable remedy.
Original shipping fees and third-party transaction fees are not refundable unless required by law or unless the issue resulted directly from an error by Dream Life Labs.
18. Lost, Stolen, and Delayed Packages
A package is not automatically considered lost because delivery is delayed.
If tracking shows no meaningful movement for seven business days, contact customer support so Dream Life Labs may initiate a carrier investigation.
If the carrier confirms that a package was lost before delivery, Dream Life Labs may provide a replacement or an appropriate refund.
When tracking confirms delivery to the address supplied by the purchaser, Dream Life Labs is not responsible for:
- theft after delivery;
- unauthorized pickup;
- loss after delivery;
- delivery to another person at the address;
- failure by the recipient to secure or retrieve the package.
Dream Life Labs may assist with a carrier inquiry but does not guarantee replacement for a package marked delivered.
19. Storage, Handling, Testing, and Disposal
The purchaser is solely responsible for establishing appropriate procedures for:
- receipt;
- inspection;
- quarantine;
- identity testing;
- purity testing;
- inventory control;
- labeling;
- storage;
- environmental monitoring;
- temperature control;
- handling;
- protective equipment;
- spill response;
- access restriction;
- documentation;
- transportation;
- disposal.
Products must be handled only by trained personnel in properly controlled laboratory environments.
You must follow:
- the product label;
- available safety information;
- institutional procedures;
- applicable laws;
- accepted laboratory practices.
You must independently evaluate hazards before opening, testing, combining, transferring, or handling any product.
Dream Life Labs is not responsible for degradation, contamination, loss, damage, injury, or research failure caused after delivery by improper:
- storage;
- handling;
- transportation;
- preparation;
- testing;
- combination;
- disposal;
- experimentation.
20. Resale and Transfer Restrictions
You may not resell, redistribute, donate, transfer, or otherwise make a Dream Life Labs product available:
- to a consumer;
- for human or animal use;
- through a consumer marketplace;
- through social media;
- through a medical, wellness, cosmetic, gym, clinic, salon, or pharmacy setting;
- to an unqualified person;
- under false or misleading labeling;
- without all legally required controls, warnings, documentation, and authorizations.
An authorized institutional transfer between qualified laboratories must comply with all applicable laws and may not obscure or alter:
- original product identity;
- lot information;
- batch information;
- Research Use Only status;
- applicable warnings.
Dream Life Labs may permanently suspend or terminate accounts associated with unauthorized resale, diversion, transfer, or redistribution.
21. Product Recall, Withdrawal, or Safety Notice
If Dream Life Labs issues a recall, withdrawal, quarantine request, safety notice, or batch investigation, you agree to:
- stop using the affected product;
- quarantine remaining units;
- follow reasonable instructions;
- preserve relevant records;
- preserve affected products;
- notify downstream authorized recipients where applicable;
- return or dispose of affected material as directed.
The applicable remedy will be stated in the recall, withdrawal, or safety notice and will be governed by applicable law.
22. Intellectual Property
The website and its contents, including the Dream Life Labs name, logos, trademarks, product photography, graphics, designs, text, software, databases, layouts, videos, labels, and other materials, are owned by or licensed to Dream Life Labs and are protected by intellectual-property laws.
Dream Life Labs grants you a limited, revocable, nonexclusive, nontransferable license to access and use the website for legitimate internal research-purchasing purposes.
You may not, without written permission:
- copy;
- reproduce;
- modify;
- republish;
- distribute;
- sell;
- sublicense;
- scrape;
- download in bulk;
- create derivative works from;
- commercially exploit website content.
You may not use Dream Life Labs branding, product photographs, Certificates of Analysis, labels, or website content in a manner that suggests endorsement, affiliation, authorization, approval, or suitability for human or animal use.
23. Reviews, Feedback, and User Submissions
When you submit a review, photograph, comment, suggestion, testimonial, feedback, or other content, you represent and warrant that:
- you own the content or have permission to submit it;
- the content is truthful and not misleading;
- the content does not violate applicable law;
- the content does not violate another person’s rights;
- the content does not promote prohibited human or animal use;
- the content does not contain dosing, administration, treatment, or medical instructions;
- the content does not contain confidential medical, laboratory, employer, customer, or third-party information.
You grant Dream Life Labs a nonexclusive, worldwide, royalty-free license to host, reproduce, edit for formatting, display, distribute, and use the submission in connection with operating and promoting the business, subject to the Privacy Policy.
Dream Life Labs may remove, reject, or decline to publish content that violates these Terms or is otherwise inappropriate.
24. Third-Party Services and Links
The website may rely on or link to third-party services, including:
- authentication providers;
- payment providers;
- financial institutions;
- cryptocurrency networks;
- shipping carriers;
- analytics providers;
- security providers;
- external websites.
Dream Life Labs does not control and is not responsible for third-party:
- availability;
- content;
- fees;
- terms;
- security;
- privacy practices;
- performance;
- acts or omissions.
Your use of a third-party service is governed by that third party’s terms and policies.
25. Website Availability
Dream Life Labs does not guarantee that the website will be:
- uninterrupted;
- error-free;
- continuously available;
- secure;
- free from harmful code;
- compatible with every device or browser.
We may modify, suspend, restrict, replace, or discontinue any portion of:
- the website;
- account functionality;
- promotions;
- products;
- services;
- payment methods.
Dream Life Labs is not responsible for loss caused by outages, maintenance, transmission errors, malicious attacks, third-party failures, technical failures, or events outside our reasonable control.
26. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, CONTENT, SERVICES, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
DREAM LIFE LABS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- TITLE;
- NON-INFRINGEMENT;
- ACCURACY;
- COMPLETENESS;
- AVAILABILITY;
- STERILITY;
- SAFETY;
- CLINICAL EFFECTIVENESS;
- DIAGNOSTIC UTILITY;
- THERAPEUTIC SUITABILITY;
- SUITABILITY FOR HUMAN OR ANIMAL USE;
- SUITABILITY FOR A PARTICULAR EXPERIMENT, TEST, PROTOCOL, OR RESEARCH PURPOSE.
NO ORAL OR WRITTEN COMMUNICATION CREATES A WARRANTY UNLESS EXPRESSLY INCLUDED IN A WRITTEN AGREEMENT SIGNED BY AN AUTHORIZED REPRESENTATIVE OF DLLABS INC.
Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.
27. Assumption of Risk
Laboratory research involving chemical, biochemical, and reference materials may present known and unknown risks.
You voluntarily assume all risks arising from or relating to:
- product selection;
- purchase;
- receipt;
- possession;
- storage;
- handling;
- transportation;
- testing;
- research design;
- combining products with other substances;
- contamination;
- degradation;
- disposal;
- misuse;
- unauthorized access;
- violation of law;
- violation of institutional procedures.
You are solely responsible for obtaining appropriate:
- expertise;
- training;
- facilities;
- equipment;
- approvals;
- licenses;
- permits;
- insurance;
- safeguards.
28. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DREAM LIFE LABS AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR:
- INDIRECT DAMAGES;
- INCIDENTAL DAMAGES;
- SPECIAL DAMAGES;
- EXEMPLARY DAMAGES;
- PUNITIVE DAMAGES;
- CONSEQUENTIAL DAMAGES;
- LOST PROFITS;
- LOST REVENUE;
- LOST DATA;
- BUSINESS INTERRUPTION;
- LOSS OF RESEARCH;
- LOSS OF GOODWILL;
- PROCUREMENT OF SUBSTITUTE MATERIALS;
- PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM PROHIBITED, UNAUTHORIZED, IMPROPER, OR UNLAWFUL USE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF DREAM LIFE LABS ARISING FROM OR RELATING TO A PRODUCT, ORDER, OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO DREAM LIFE LABS FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory asserted and even if Dream Life Labs was advised that damages were possible.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
29. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Dream Life Labs and its owners, officers, directors, employees, affiliates, contractors, suppliers, and service providers from claims, investigations, liabilities, losses, penalties, judgments, damages, expenses, and reasonable legal fees arising from or relating to:
- your violation of these Terms;
- false eligibility or purchaser representations;
- your possession, storage, handling, use, transfer, resale, or disposal of a product;
- human or animal administration;
- prohibited or unlawful use;
- violation of applicable law;
- infringement of another person’s rights;
- fraud or account misuse;
- payment or chargeback abuse;
- content submitted by you;
- claims brought by a person or organization that obtained a product through you.
Dream Life Labs may control the defense of a covered claim.
You may not settle a claim in a manner that imposes an obligation, admission, payment, or restriction on Dream Life Labs without written consent.
30. Dispute Notice and Informal Resolution
Before filing a lawsuit, arbitration demand, or other formal legal proceeding, the complaining party must send written notice describing:
- the party’s name and contact information;
- the relevant account, order, transaction, or product;
- the facts giving rise to the dispute;
- the requested resolution.
Legal notices to Dream Life Labs must be sent to the customer-support email address listed in Section 40 with the subject line “Legal Notice.”
The parties will attempt in good faith to resolve the dispute for 30 days after the notice is received.
This section does not prevent either party from seeking urgent injunctive or equitable relief relating to fraud, security, intellectual property, unlawful distribution, misuse, or imminent harm.
31. Governing Law and Venue
These Terms are governed by applicable United States federal law and by the laws of the state in which DLLabs Inc. maintains its principal place of business, without regard to conflict-of-law principles.
Unless the parties agree to another lawful dispute-resolution process, any judicial proceeding must be brought in a court with proper jurisdiction over the dispute.
Each party consents to the jurisdiction of a court that has lawful authority over the parties and the subject matter.
Nothing in this section deprives a purchaser of protections or rights that cannot lawfully be waived under applicable law.
32. Time Limit for Claims
To the maximum extent permitted by law, any claim relating to the website, an account, an order, a payment, a shipment, or a product must be commenced within one year after the event giving rise to the claim.
A claim not commenced within that period is permanently barred.
This limitation does not apply where applicable law prohibits it.
33. Force Majeure
Dream Life Labs is not responsible for delay, interruption, nonperformance, or failure caused by events beyond its reasonable control, including:
- natural disasters;
- severe weather;
- fire;
- epidemic;
- pandemic;
- war;
- terrorism;
- civil unrest;
- government action;
- regulatory changes;
- customs actions;
- carrier disruption;
- labor disputes;
- utility failure;
- internet failure;
- cyberattack;
- supplier failure;
- product shortages;
- transportation interruption;
- banking or payment-system disruption.
34. Suspension and Termination
Dream Life Labs may suspend or terminate website access, restrict accounts, cancel orders, reject future purchases, or discontinue a customer relationship when we reasonably believe that:
- these Terms have been violated;
- a product may be used for a prohibited purpose;
- fraud or payment abuse may have occurred;
- the customer presents a safety, legal, sanctions, export-control, compliance, or reputational risk;
- continuation of the relationship may expose Dream Life Labs or another party to harm or liability.
Sections that by their nature should survive suspension or termination will remain effective, including provisions concerning:
- prohibited use;
- intellectual property;
- warranties;
- assumption of risk;
- limitation of liability;
- indemnification;
- disputes;
- recordkeeping.
35. Changes to These Terms
Dream Life Labs may revise these Terms periodically.
Revised Terms become effective when posted unless another effective date is stated.
Material changes may be communicated through the website, customer account, checkout process, or email where legally required.
The Terms in effect when an order is accepted generally govern that transaction, except where a change is required by law or agreed to by the parties.
Your continued use of the website after revised Terms become effective constitutes acknowledgment of the revised Terms.
36. Severability
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law.
The remaining provisions will remain in full force and effect.
37. No Waiver
A failure or delay by Dream Life Labs in enforcing a provision of these Terms does not waive that provision or any other right.
A waiver is effective only when made in writing by an authorized representative of DLLabs Inc.
38. Assignment
You may not assign, delegate, or transfer these Terms or any rights or obligations under them without written permission from Dream Life Labs.
Dream Life Labs may assign or transfer these Terms in connection with:
- a merger;
- acquisition;
- financing;
- reorganization;
- sale of assets;
- transfer of business operations;
- corporate transaction.
39. Entire Agreement
These Terms, together with the Privacy Policy, Refund and Replacement Policy, Research Use Only Disclaimer, and any applicable order-specific written agreement, constitute the entire agreement between you and Dream Life Labs concerning the website, account, services, and purchases.
These Terms supersede prior or contemporaneous communications, representations, or agreements concerning the same subject matter.
If an order-specific written agreement signed by an authorized representative of DLLabs Inc. directly conflicts with these Terms, the signed written agreement controls solely for that transaction.
